OFFICIAL RULES
A NON-REFUNDABLE FEE OF $800.00 USD IS REQUIRED FROM EACH ENTRANT. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW.
1. Entry Period:"Cipher 24 TV™: (the "Registration" commences at 10:00:01 AM (ET) on August 24, 2009 and ends at 11:59:59 PM (ET) on March 6, 2010 (the "Entry Period"). All Entries must be received by 11:59:59 PM (EST) on March 6, 2010. All entries after March 6, 2010 will be subject to a 20% surcharge on the total amount.
2. TV Show Overview: Cipher 24™ is currently producing 1 Television program, which will be shot over the course of this Summer and Fall/Winter/Spring to get ready for the Spring-Summer 2010 seasonal time. First half of season will be shoot this Fall/Winter Phase to begin our National Air-Time campaign on Television. C24TV™ has created an aggressive marketing campaign to target higher and middle income demographics in Large Market Areas like CA, TX, DC, FL, NY, as well as Medium Market Areas such as MA, NJ, PA, CT, NC, SC, GA, VA, and MD through MTV, MTV2, MTVU, VH1, BET, FOX, and Adult Swim Networks. The Program is currently operating under the tentative registered working title, which is as follows; Party Bus™. Each Branded episode will follow criterion toward the advancement of the Musical Artists through an arrangement of performance and exposure opportunities in order to bring the Brands of New and Emerging talents to Market. The following is a concise description of the Branding Model for the Television Program.
3. Eligibility: The Show/Program is open to men and women at least 21-35 years of age and legal residents of, and residing in, the forty-eight (48) United States and District of Columbia. Employees, shareholders (excluding non-majority shareholders), officers, directors, agents or representatives of any person or entity connected with the Show or the administration including, but not limited to, Cipher 24™, Inc. (“Cipher 24™”), Cipher 24 TV™, Lain Elle, LLC, participating television stations, advertising agencies and corporate sponsors and their respective parents, affiliates, subsidiaries, agents and representatives, and the immediate families of the foregoing individuals (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and those living in the same household of such individuals (whether or not related) (collectively, the "Show Entities”), are not eligible to enter or participate. Void where prohibited or restricted by law. Show is subject to all applicable federal, state and local rules and regulations. The decisions of Cipher 24™ (“Producer”) with respect to whether an entrant is eligible are final and binding.
4. Performance: There will absolutely be no use of profanity or foul language used on camera whether it be in performance or non-performance. Any use of profanity will be edited for with discretion for the criterion of Television. If a performance or interview contains continuous dialogue of profanity, then the film becomes unusable.
5. Mode of Conduct: You are not allowed to bring any weapons, alcohol, or drugs on set. You are allowed to bring promotional materials for the promotion of your brands on camera. Any violation of conduct will result in the immediate dismissal from the Show and a breach of contract with no obligation what so ever to promise anything. Any and all misconduct will result in consequences which may be handled either legally or within the confines of our supervision.
6. Cancellation: Failure to perform to the terms of this agreement will result in a breach of contract. If for any reason you decide to cancel this agreement after signing, you will be responsible for a non-negotiable $300 USD contract termination fee.
7. Rights: By entering the Show, all entrants understand and agree that Producer, its successors, assignees, licensees, designees, agents and affiliates, shall have the irrevocable and unrestricted right to use and exploit the Entry Submissions (including, without limitation, the photos submitted with the applications), all recordings and photographs taken of the entrants (whether during tryouts, performances, interviews, behind-the-scenes activities or at any other time during or in connection with the Show) and all materials contained in the foregoing, along with each entrant’s name, city and state of residence, voice, singing voice, appearance, image, photograph, likeness and biographical information, as the same may be edited, cut, rearranged, adapted, dubbed or otherwise revised, if applicable, in any manner or media now or hereafter known (including, without limitation, in and in connection with the Program; in all ancillary, subsidiary, derivative and other uses of the Program; in advertising and publicity for the Program, Cipher 24™, Cipher 24 TV™, for the use on television, on-line, on-air, in-print, Network Programming and/or any other brand programming, operations and activities; and for any other purpose), throughout the world, in perpetuity, without additional compensation, notification or permission.
8. Entrant Entry Package:Each Entrant will receive an entry package of a market value of $7230.00 USD, containing a number of amenities and services for signing up your participation with the show in production for the show. The package is as follows; (however registrations 15 days before the deadline, may be subject to alterations)1st Season TV Online Profile consisting of photo, bio, video, blog, music, etc, HD DVD copy of Episode in which you were featured in majority. HD Green/White Screen Video Shoot Short. Professional Photo Shoot. HD Interview. Digital copy of Photo & Video shoot data. Contact list of the Top 10 Reality TV Star talent buyers and booking agencies, Entertainment Lawyers, and Marketing Companies in the U.S.
9. Payment Schedule:Entrant must choose a shoot date to correspond with their payment schedule. All entrants have the option of making full payment deposit or partial payment deposit following the schedule listed below. Entrant Release and Waiver
As a condition to entering “Cipher 24 TV™" (the “Show”) and in consideration for Cipher 24™ (“Producer”), reviewing and considering your entry submission (“Entry Submission”) and in-person tryout for the Show, as applicable (collectively, the “Entry”), and in order to become a participant in connection with the reality television programs currently entitled “Party Bus™" (working title) (the “Program”), you hereby represent and warrant that the following statements are true and correct and that you agree to the terms and conditions contained herein. All capitalized terms used herein and not otherwise defined shall have meanings set forth in the Official Rules of the Program.
1. You ("Entrant") warrant and represent that you are: (i) a United States citizen; (ii) a legal resident of the 50 United States or the District of Columbia; (iii) a man or woman at least 21-35 years of age; and (iv) eligible to work in the United States.
2. You represent and warrant that you are not, nor is any member of your immediate family (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) or those living in your household (whether or not related), an employee, shareholder (excluding non-majority shareholders), officer, director, agent or representative of any person or entity connected with the Show or the administration including, but not limited to, Lain Elle Consulting Group ("Lain Elle LLC"), Cipher 24™, Inc. (“Cipher 24™”), participating television stations, advertising agencies and corporate sponsors and their respective parents, affiliates, subsidiaries, agents and representatives.
3. You have not and will not enter into any commercial or other sponsorship agreement or arrangement with any person or entity with respect to or arising out of your participation in the Show, if any, without Producer’s prior written approval.
4. You agree not to wear any article of clothing on camera bearing a designer name, sports or other trademark, service mark or logo or bearing the name or likeness of a celebrity, living or dead. You are allowed to wear your own branding.
5. You agree that Producer shall have the right to do a background check on you solely in connection with the Show. You agree to sign any additional documents or authorizations required by Producer in connection with such background check if requested.
6. You agree to follow all of Producer’s rules, directions and instructions in all matters relating to the Show (including, without limitation, during the contestant selection process). Specifically and without limiting the foregoing, you represent and warrant that you have had an opportunity to review the Official Rules for the Program with an attorney of your choice or have waived your right to do so, and you agree to be bound by, and to comply in all respects with, the Official Rules. You agree to accept any and all decisions of Producer on discretionary matters (including, but not limited to, the contestant selection process) as final and not subject to challenge or appeal. You agree that your selection as a contestant is within Producer’s sole discretion and that Producer is not obligated to select you. If you are selected, you agree that Producer is not obligated to have you appear on air and/or to broadcast or exploit your Entry or any recordings of you in any manner. Producer shall have no obligation to return or maintain any materials submitted as part of your application whether or not you are selected as a entrant.
7. You consent to the filming, taping, recording and/or photographing of you at any time in connection with the Show and Program (including, without limitation, during the Cipher 24 TV™, performance, interviews, behind-the-scenes activities and any activities occurring on the Party Bus™) (the “Recordings”). You hereby grant to Producer, its successors, assignees, licensees, designees, agents and affiliates, the irrevocable and unrestricted right, throughout the universe in perpetuity, to use, reuse, broadcast and otherwise exploit the Entry, the Recordings and all materials contained in the foregoing as well as your name, city and state of residence, voice, singing voice, appearance, image, photograph, likeness and biographical data, as the same may be edited, cut, rearranged, adapted, dubbed or otherwise revised, if applicable (collectively, the “Materials”), in any manner and media now known or hereafter devised, including, without limitation, in the exploitation of the Program; in all ancillary, subsidiary, derivative and other uses of the Program; in advertising and publicity for the Program, Cipher 24™, Cipher 24 TV™ and all other Network programming, operations and activities; and for any other purpose), without additional compensation, notification or permission. For purposes of clarification and without limiting the foregoing, Producer, its successors, assignees, licensees, designees, agents and affiliates, shall have the right to record and utilize any and all bloopers and outtakes in connection with the Show and the Program. You hereby expressly waive any rights of droit moral that may be afforded you under the laws of any country in any capacity in connection with the Materials. Nothing hereunder shall obligate Producer, its successors, assignees, licensees, designees, agents and affiliates, to develop, produce, exhibit, distribute, advertise or otherwise exploit the Program or to use the Materials, in whole or in part, in or in connection with the Program or otherwise.
8. You represent and warrant that: (i) you are free to enter into this agreement and are not subject to any conflicting obligations or impediments which may prevent or interfere with the execution and performance of this agreement by you; (ii) you have not entered into any other agreement, nor have you done or will you do any act or thing which in any way prevents, hampers or conflicts or interferes with the full and complete performance of your obligations to Producer or any rights granted by you hereunder; (iii) except for materials Producer provides to you during the Show, the results and proceeds of your participation in connection with the Show and Program and all materials provided by you in connection therewith (including, without limitation, any materials contained in your Entry Submission) (the “Contributions”) shall be your own original work (or fully cleared by you if any third party materials are contained therein); (iv) the Contributions shall not be inappropriate or offensive (as determined by Producer in its sole discretion); and (v) Producer’s use, reuse, broadcast and other exploitation of the Contributions shall not defame or invade any publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or property rights or any copyright, trademark or other third party rights. Producer reserves the right at any time to disqualify any individual whose Entry or actions during the Show are deemed to be offensive, inappropriate and/or otherwise in violation of the requirements set forth in the immediately preceding sentence, as determined by Producer in its sole discretion.
9. You represent and warrant that you have provided to Producer all identification documentation and/or other information or documentation requested or required by Producer in connection with Producer’s statutory record-keeping and identification verification obligations, such information and documentation to include, without limitation: (i) your full legal name as well as any and all previous names, aliases, stage names, professional names and/or nicknames used by you or by which you may be currently or previously known or identified; (ii) your current address; (iii) your date of birth; and (iv) a legible photocopy of your valid government-issued identification documentation (e.g. U.S. or other home country passport, state driver’s license or valid photo ID card), and that all such information and documentation is valid, true and accurate as of the date provided by you to Producer.
10. a. By entering the Show, you agree that you are making a one (1) episode commitment to the Program (unless qualifying for another episode) and will be available to participate in all production activities for the Program. b. You acknowledge that interviews and/or statements made during or in connection with the Show may be considered surprising, humiliating, embarrassing, derogatory, defamatory, and put you in a false light, or otherwise be considered offensive or injurious to you, the viewing audience, Producer or Producer’s employees or agents and/or other third parties. However, all such interviews and statements (whether factual or fictional) effect our Branding as well as yours. With that said, we will not tolerate behavior that can potentially be damaging to our Brand. As you are contracted to follow a certain mode of behavior while the camera is on, even though the Show will be formatted in real-time we still aspect an aptitude of professionalism. It is your job to make sure that you are represented in a manner that is tasteful, professional, and optimistic as you further your career objectives. We do not want you to turn this opportunity to a situation that could end your career before it begins, which is why we stress a professional mode of behavior while on camera.
Entrant Release and Services Agreement
General Conditions
By participating in this Program, each entrant agrees: (i) to be bound by these Official Rules, the Entry Submission, the Entrant Release and Waiver, the Release and Services Agreement (if applicable) and any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release) and by the decisions of the Producer, which are final and binding in all matters relating to this Show, (ii) to indemnify, defend and hold harmless Cipher 24™, Lain Elle, LLC, and their respective parents, affiliates, subsidiaries, assignees, licensees, sponsors and advertising and promotion agencies, and the respective officers, directors, agents, employees and representatives of the aforementioned entities (collectively, the “Released Parties”) from any and all liabilities, claims, losses, damages, demands, causes of action, penalties and expenses arising out of or related to entrant’s participation and appearance in or elimination from the Show/Program and/or activities associated with the Show/Program; the malfeasance, negligence and/or other tortious acts or omissions committed by entrant and/or entrant’s agents, employees, guests or invitees during or in connection with the Show/Program; and entrant’s breach or alleged breach of any agreement, covenant, representation or warranty contained in the Entry Submission Form, the Entrant Release and Waiver, the Official Rules, the Release and Services Agreement (if applicable) and any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release), and (iii) not to sue and irrevocably and unconditionally release, waive and forever discharge the Released Parties, from any and all liabilities, claims and demands of any kind or nature whatsoever, in law or equity, whether known or unknown, which entrant (or entrant’s successors-in-interest, heirs and/or agents) ever had, now have, or in the future may have against the Released Parties, including, but not limited to claims arising out of or related to personal injury and/or damage, theft, loss or any other harm suffered in connection with or relating to participation in the Show (or any portion thereof) (including any travel or activity related thereto), the use or acceptance of the package and/or the use of any of the rights granted herein (including, without limitation, the use, reuse, broadcast and/or other exploitation of entrant’s appearance, name, voice, singing voice, appearance, image, likeness, photograph and/or biographical data). Released Parties assume no responsibility for incorrect or inaccurate entry information however caused, or for Entry Submissions or mail that are illegal, incomplete, lost, late, delayed, stolen, damaged, inaccurate, inaudible, incomplete, undelivered, misdirected or postage-due; or for any other error or problem of any kind relating to or in connection with this Show, whether technical, mechanical, typographical, printing, human or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Show, the processing of Entry Submissions, and the announcement of the package or in any Show-related materials. Producer reserves the right, in its sole discretion, to disqualify any individual or to revoke any package granted to any individual it finds to be tampering with the entry process; to be acting in violation of these Official Rules, the Entry Submission, the Entrant Release and Waiver, the Release and Services Agreement (if applicable) or any other documents required by Producer (including, without limitation, the confidentiality agreement, the Medical Questionnaire and the Emergency Medical Release); or to be acting in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten or harass any other person. Producer also reserves the right, in its sole discretion, to disqualify any individual or to revoke any package granted to any individual who fails any background check required by Producer, provides any false or misleading information in connection with the Show or has an existing agreement (oral or written) with another modeling agency or management company that may cause conflict of interest.
CAUTION
ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO UNDERMINE THE LEGITIMATE OPERATION OF THE SHOW MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, PRODUCER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OVER ANY CONTROVERSIES REGARDING THE SHOW AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SHOW. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF SUCH COURTS. The invalidity or lack of enforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. YOU UNDERSTAND THAT PRODUCER RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CHANGE, ADD, DELETE FROM, MODIFY OR AMEND THE OFFICIAL RULES AND/OR CANCEL, TERMINATE OR SUSPEND THE SHOW AT ANY TIME, FOR WHATEVER REASON, WITHOUT AWARDING ANY PACKAGE AMENITIES. ALL PACKAGE DETAILS ARE AT PRODUCER’S SOLE DISCRETION AND SUBJECT TO CHANGE AT ANY TIME AND FROM TIME TO TIME. TO VIEW THE MOST UP-TO-DATE VERSION OF THE OFFICIAL RULES.
Privacy
Any personal information collected from Show entrants may be used by Producer and Cipher 24™ (and their respective successors, designees, licensees and assigns) for the purpose of administering the Show and any services related to the Show. In addition, any personal information collected from Show entrants may be used as otherwise permitted under these Official Rules, the Entrant Release and Waiver, the Release and Services Agreement (if applicable) and any other agreement(s) entered into in connection with the Show.
